Justabout Wine Club Terms and Conditions(Required)

THIS Agreement is made and entered into by and between the Justabout Wine Club and all Members of the Justabout Wine Club. (“Member” or “Members” refers to the person/s who is/are joining or who has/have already joined Justabout Wine Club.) (“Club” or “JWC” refers to Justabout Wine Club.)

By becoming a Justabout Wine Club Member and utilizing the Club and the amenities and services of the Club, Members agree to adhere to this Agreement at all times. From time to time, this Agreement may be updated, changed, modified, and/or amended. Please note that an up-to-date digital or electronic version of this Agreement will always be made available to Members.

I. Intended Purpose of the Club and JWC Membership

Justabout Wine Club is a private, membership-based social and business club, that focuses on the appreciation and enjoyment of fine wines and collateral accoutrements that are commonly associated with the serving, consumption, storage, purchasing, and delivery of wines. The Club and its amenities exist for the private enjoyment of JWC Members and their permitted guests.

The Club and its Members participate in the Club, subject to and in accordance with laws promulgated by the Commonwealth of Pennsylvania, which laws are subject to change from time to time.

Justabout Wine Club is a non-equity, non-transferable membership with access privileges to the Club, its facilities, and its included amenities. These amenities may be changed or modified from time to time. JWC Members do not have voting rights and/or a control or stake in the operations or management of the Club.

There is no rebate or prorate for Members who choose to relinquish their membership, and all advanced payments, including initiation fees, locker fees, storage license fees and/or general merchandise purchases, and monthly membership fees are non-refundable. Members retain access to Justabout Wine Club provided that their Member account is in good standing, as determined in the sole discretion of Justabout Wine Club Management. JWC does not “buy back” any upfront membership fees, initiation fees, or other fees.

Justabout Wine Club puts a high priority on the privacy of its Members, and does not publish, sell, or distribute Member names and/or contact information to other Members or third parties.

While Members will enjoy access of up to seven (7) days per week during regularly posted hours (which shall be updated from time to time), JWC is not intended to be a working space, remote (or satellite) office, or a professional office. However, JWC does encourage its Members to use the Club in a manner consistent with the available resources and intended use of the Club, its amenities, and the events that are available to Members from time to time.

II. General Expectation of Behavior

Justabout Wine Club membership is an “at will” privilege that can be revoked by either party at any time, without financial/payment refund. The friendly and professional co-enjoyment of the Club and its amenities amongst Members is a top priority at all times.

Justabout Wine Club Management expects Members to present themselves in a manner that is professional and respectful of (i) the Club in general; (ii) the Club’s facilities and amenities; and (iii) other Members while they’re on Club property. Failure to meet these reasonable expectations of the Club, as determined by Club Management, in its sole discretion, may result in an immediate suspension, modification, and/or termination of membership without refund.

Justabout Wine Club, at its sole discretion, reserves the right to review membership information at any time, adjust membership roles and tiers, accessibility, terminate membership, and/or adjust included amenities.

III. General Accessibility & Guest Policies

A. General Accessibility
Justabout Wine Club is accessible by Members in accordance with their selected membership tier/level. Club visitation outside of the defined membership access times is prohibited, unless written permission has been granted by Club Management.

Members may verify their accessibility timeframes within their Member agreement, executed at the time when membership began. Members may access any area of the Club that is not restricted. Any restricted areas will be marked.  Other areas may be available only to the extent that a member is accompanied by Club Management   For example, due to legal constraints, Members may not access the wine production areas / wine bulk storage areas without being accompanied by Club Management or Club staff.

All Members and their permitted guests must be 21 years of age or older. No children are permitted in the Club at any time unless granted written permission from Club Management. Member and guest access may be restricted based upon specific Club events and times. The Club will be managed in a manner consistent with businesses that offer alcoholic beverages for sale in the Commonwealth of Pennsylvania and will promote and enforce restrictions in the same manner as fully licensed facilities selling and serving liquor, wine, and malt beverage products.

Guest privileges are strictly monitored and enforced at all times. Exceeding the guest limit as per Member’s membership level may result in immediate suspension, modification, reduction of privileges and/or termination of membership.

B. Guest Policy
Members are permitted to bring guests in accordance with their membership tier/level, and within the parameters of what their membership level permits. Members may verify their guest limit policies within their member agreement, executed at the time membership began. Any questions regarding guest admission should be directed toward the Club Management.

Guests of Members may only be present on Justabout Wine Club property when their corresponding Member is present. Members are fully responsible for the conduct of their guests. If guests do not conduct themselves appropriately as determined by Club Management, in its sole discretion, the Member who brought them as a guest may have their membership suspended, modified, or revoked at the discretion of Justabout Wine Club Management.  Any purchases or open tabs associated with a guest may be settled to the applicable hosting Member’s account at the discretion of the Club.

No guest may be admitted more than once a month regardless of any tier or level of membership. This includes a specific guest being admitted with a different member. To be clear, visitation per guest is limited to once a month, regardless of which specific Member invites the guest.  Members and/or guests who violate this monthly limitation may be subject to termination of membership and/or banishment from the Club.

Spouses do not count towards total guest admission count, and are permitted at any time when accompanied by their spouse (the Member).

C. Guest Sign-In Upon Entrance
Guests must sign in and agree to all Club rules, applicable bylaws, and guest agreement immediately upon entrance to the Club at the guest sign-in kiosk. Failure to properly and immediately sign in will result in the Members’ and/or guest’s membership suspension, modification, or termination, as determined by Club Management in its sole discretion.

D. Guest Fees
Guest privileges are strictly monitored at all times. Exceeding the guest limit as per the Guest Policy per Member’s membership level may result in immediate suspension and/or termination of membership.

IV. Wine Cellar Accessibility and Purchases of Wine

Access to our Wine Cellar or Wine Storage is for Members only. Guests may only enter the Wine Cellar or Wine Storage areas when their accompanying Member is present. Only Members are permitted to self-service purchase or receive direct ship wines through the Club. Member purchases will be completed on site either with the self-service digital checkout system, through a PDA Application, or through an employee-assisted sale. Guests may not enter or remain in wine cellar area without their accompanying Member.

V. Club Offerings

Justabout Winery, LLC (the “Winery”) is a Pennsylvania Limited Liability Company. The Club is an affiliate of the Winery and will utilize the facilities of the Winery to offer tastings and sale of alcoholic ciders, wines, and other wine beverages. By statute, the Winery can produce no more than 200,000 gallons of wine per year and as a Club Member you will have priority rights relative to the purchase of wines produced by the Winery and imported to the Winery. All purchases of wines will be made by you for your own personal use and the use of your guests and cannot be resold.

All purchases will be made with credit card. Any payment, regardless of form of payment, that is returned, declined, or later charged back (collectively referred to as “Charge Back” or “Charged Back”) will result in the imposition by the Club and/or the Winery, on the Member, of a Charge Back fee in the amount of $25.00 together with all other collateral charges, fees, and expenses incurred by the Club or the Winery as a result of the Charge Back. The Club and the Winery are authorized to collect payment by charging Member credit cards on file. If payment of charges, fees, and other expenses are not received within five (5) days, then all club privileges will be revoked and the Member’s membership shall be terminated subject to the Club’s right to recover any such Charge Back fees and expenses, including but not limited to reasonable attorney’s fees incurred in pursuit of same.

Repeat violations of failing to properly complete purchases of merchandise ordered through the Club may result in membership suspension or termination at the discretion of Club Management.

VI. BYOB Policy

Justabout Wine Club is an “in-house” wine venue, meaning that wines consumed on JWC property are to be wines purchased by and through Justabout Winery, LLC, Justabout Wine Company ltd, and JWC.

Wines purchased outside of the Club or the Winery may be checked in to the private Member storage or consumed at a cost determined by each Member’s membership tier level. Violations could result in termination of Club privileges.

VII. Purchasing Collateral Items

JWC will establish various other product offerings over time that Members may choose to purchase. These items shall also be purchased with the self-service, digital checkout system. The checkout process works the same way that it does for purchasing wines.

VIII. Dress Code

Members and their guests may come, as they are, in business or casual attire that is respectful to their fellow Members and the Club in general.

Club Management reserves the right to enforce dress code guidelines and recommendations at any time. Club Management also reserves the right to ask a Member and/or guests of Members to vacate the property if their dress is not deemed appropriate.

Pets are prohibited on any part of the JWC property without prior written approval of Club Management.

IX. Special Events (Hosted by JWC)

JWC regularly hosts special events for the private enjoyment of Members. Some events are for attendance by active JWC Members only, and other events will permit JWC Members to bring a specific number of guests to attend with them. JWC Management reserves the sole discretion, at any time, to limit or deny guest(s) attendance at any event.

Certain events may restrict part or all of the active JWC membership, for reasons including, but not limited to, membership tier or level, length of membership history, or membership status.

X. Special Events (Privately Hosted by JWC Members)

JWC may offer individual JWC Members the ability to host private events within part or all of the facility at any time. Rates vary depending on availability and time of the day and year. To receive a quote on hosting a private event, JWC Members should contact the Club Management. Hosting a private event at JWC is not guaranteed.

JWC reserves the right to deny the hosting of a private event for any reason whatsoever, at its sole discretion. Reasons may include, but are not limited to, the type of the event, date of the event, time of the event, overall intended purpose of the event, proposed attendees of the event, size of the event, or the impact of the event on the overall Club, facility, or membership.

At the discretion of JWC, the host Member may be required to purchase separate liability insurance in addition to the event rates to cover both the Member and the Club for risk of loss and/or damages at private events.

XI. General Policies with Regard to Alcohol

Members are expected to monitor their alcohol consumption, including the alcohol consumption of any guests that they bring to the Club. Alcohol law enforcement guidelines state the legal limits, and Members and their guests are advised and expected to drink in accordance with local and state motor vehicle alcohol consumption regulations. Members are advised not to operate motor vehicles after consuming alcoholic beverages and to always drink responsibly. State law dictates the maximum amount of direct ship wine and alcohol allowed in any calendar year.  Members must comply with all applicable laws.

XII. General Terms & Conditions

Justabout Wine Club is a non-equity, non-transferable membership with access privileges to the Club and its included amenities. These amenities may be changed or modified from time to time by Club management, in its sole discretion. There is no refund, rebate or prorate for Members who choose to relinquish their membership (or whose membership is terminated), and all advanced payments, including initiation fees, seat fees, seat license fees, wine and/or general merchandise purchases, and monthly membership fees, are non-refundable. Members retain access to Justabout Wine Club, provided that their membership account is in good standing condition, as determined by Justabout Wine Club Management.

A. Fire/Safety Regulations
Members shall abide by all fire and safety regulations and other laws and regulations governing the use of the facility. In particular, Members shall not admit or invite, and Justabout Wine Club reserves the right to refuse, entry of a larger number of persons than the permitted capacity of the facility and Justabout Wine Club’s determination in this regard shall be conclusive.

B. Loss of Life/Damages
Justabout Wine Club, Justabout Winery, LLC, Justabout Property LLC, and Justabout Wine Company ltd. (collectively, “Justabout Wine Companies”) shall not be responsible for the loss or damage of any items or personal property left in or about the facility or the facility property. Member hereby agrees to and shall release, hold harmless, protect, defend, and indemnify Justabout Wine Companies, and their respective agents, servants, employees, partners, Management, Members, directors, officers, and shareholders, from and against any and all claims, actions, damages, suits, judgments, decrees, orders, liability, and expense (including costs and attorney’s fees) in connection with loss of life, bodily injury, personal injury, and/or loss or damage to property of whatever kind or character, howsoever caused, arising from or out of any occurrence in, upon, or about the facility, or in the occupancy or use by member of the facility or any part thereof, or occasioned wholly or in part by any act or omission of Member, members of Member’s party, Member’s guests, client’s guests, agents, invitees, or servants.

C. Modification of Facilities
Member may not modify, change, or alter the facilities, any part of the facilities, any equipment, furniture, fixtures, or fittings of the facilities. Members may not bring any equipment, furniture, fixtures, or fittings to the facility without the prior written consent of Club Management. Member may not use open flames, with the exception of matches and lighters for the sole purpose of lighting cigars and/or cigarettes (in designated areas), without Justabout Wine Club’s prior written consent. Member may not light or turn on fireplaces anywhere within, on or about the facility.

D. Security
Justabout Wine Club hereby reserves the right to require bonded security personnel, depending on the nature of and inherent risk associated with any event. In the event of disruption, over-indulgence, fighting, or danger of any kind by Members, guests, licensees, invitees, or employees, Justabout Wine Club, as deemed necessary or prudent, will call the police or fire authorities and remove, press criminal charges, and seek reimbursement for damages as appropriate. Security shall be arranged through Justabout Wine Club as deemed necessary by Justabout Wine Club, at Justabout Wine Club’s sole discretion. The Club is under 24/7 video surveillance for the safety and security of Club Members and for the enforcement of Club regulations. Justabout Wine Club ownership reserves the right to revoke membership of any Member, at any time, who violates the rules and expectations of Club Members without any reimbursement of paid/prepaid membership dues.

E. Terms of Payment
Upon execution of this Agreement, Member will be charged an initiation fee and/or monthly membership rate in accordance with their membership tier/level package. Any monthly purchases will be automatically added to the Member’s monthly statement, and charged to their account on a monthly basis. Charges are generally automatically charged to a credit/debit card on file with the Member’s membership account. Invoices are available on a monthly basis by logging into Member’s online account. All advance payments, including but not limited to, membership initiation fees, seat fees, seat license fees, dues, wine, wine accessory purchases are non-refundable.

  • Estate Membership – $200/month

  • Executive Corporate Membership – $550/month
    • Covers up to 5 corporate members with access to exclusive perks

Membership Terms

  • 6-month minimum commitment – Membership renews automatically every 6 months unless canceled with at least 30 days’ advanced written notice.
  • Early cancellation fee – If a member cancels before the 6-month period ends, they will be charged one additional month’s dues as a fee.
  • Renewal flexibility – Members may cancel at any time after their initial 6-month term with 30 days’ advanced written notice before renewal.

Day Pass Access For Prospective Members

  • A prospective member may purchase a day pass for entry to Justabout Wine Club.
  • A portion of the fee will be credited toward purchases at the winery.
  • Day pass guests may be hosted either by a club member or by winery club management for special events.
  • Guests are responsible for their own behavior and must adhere to all club policies. Failure to comply may result in removal from the property or restrictions on future access.
  • Justabout Wine Club reserves the right to limit availability or adjust pricing for day passes.

F. Acts of God
If as a result of acts of God or any other cause whatsoever, including, but not limited to those attributable to labor disputes, strikes, governmental (federal, state, or municipal) regulations or restrictions to travel or transportation, governmental regulations of indoor/outdoor smoking, non-availability of food, beverages or supplies, riots, national emergencies, natural disasters, severe weather, and other causes whether enumerated herein or not, which are beyond the reasonable control of Justabout Wine Companies, Justabout Wine Companies’ ability to perform hereunder is prevented or interfered with; including, but not limited to Justabout Wine Companies’ ability to give possession of or access to the facility, or any part thereof, to Member for all or part of the time period for Member’s membership level; or is otherwise prevented from performing its obligations under this Agreement, then Justabout Wine Club shall be relieved from performing such obligation and Member shall not be entitled to any compensation for any inconvenience, loss, damage, nuisance, or discomfort thereby occasioned.

G. RELEASE OF LIABILITY AND WAIVER OF LEGAL RIGHTS
In consideration of and as a condition to Members being allowed to participate in the membership of the Justabout Wine Club, and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the Members hereby agree as follows:

Assumption of Risk of Communicable Disease.

This section is an acknowledgement and express and voluntary assumption of all risks that are in any way related to our being exposed to or contracting COVID-19 (as defined by the World Health Organization) and any strains, variants, or mutations thereof, the coronavirus that causes COVID-19, and/or any other airborne, aerosolized or surface transmissible communicable and/or infectious diseases, viruses, bacteria or illnesses or the causes thereof (collectively, “Communicable Disease”), during or in connection with our participation in any events and/or a Member’s presence at the winery. By participating in events and/or being present at the Winery and related facilities, Members acknowledge and expressly and voluntarily assume the risk, to the fullest extent permitted by applicable law, that Members may be exposed to Communicable Disease. Members expressly understand that the risks of exposure to Communicable Disease include contracting Communicable Disease and the associated dangers, medical complications (including death) and physical and mental injuries, both foreseen and unforeseen, that may result from contracting Communicable Disease. 

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MEMBERS, AND ALL OF MEMBERS’ PERSONAL AND LEGAL REPRESENTATIVES, SUCCESSORS, ASSIGNS, HEIRS, ESTATES, EXECUTORS, ADMINISTRATORS, NEXT OF KIN AND ANY OTHER PERSON OR ENTITY THAT MAY BE ENTITLED TO MAKE SUCH A CLAIM ON MEMBERS’ BEHALF, HEREBY WAIVE, RELEASE, HOLD HARMLESS AND FOREVER DISCHARGE JUSTABOUT WINE COMPANIES, THE OWNERS, OPERATORS AND MANAGERS OF THE WINERY AND RELATED FACILITIES IN WHICH THE EVENTS ARE HELD, PAST, PRESENT AND FUTURE AFFILIATED ENTITIES ASSOCIATED WITH THE JUSTABOUT WINE COMPANIES AND ANY EVENTS HELD BY SAME, AND ANY ENTITY WITH JURISDICTION OVER THE WINERY, AND EACH OF THEIR RESPECTIVE PAST, PRESENT AND FUTURE RELATED ENTITIES, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, MEMBERS, PARTNERS, OWNERS, SHAREHOLDERS, GOVERNORS, AGENTS, SERVANTS, OFFICIALS, EMPLOYEES, VOLUNTEERS, SUCCESSORS, ASSIGNS, RIGHTSHOLDERS, SPONSORS, AND/OR OTHER LICENSEES (COLLECTIVELY, “RELEASED PARTIES”), FROM, AND IN NO EVENT SHALL THE RELEASED PARTIES BE RESPONSIBLE FOR, ANY CLAIM, LIABILITY OR DEMAND OF WHATEVER KIND OR NATURE, EITHER IN LAW OR IN EQUITY (INCLUDING, WITHOUT LIMITATION, FOR PERSONAL INJURY, DEATH OR PROPERTY LOSS OR DAMAGE THAT MAY ARISE IN CONNECTION WITH, OR RELATE IN ANY WAY TO, (A) PARTICIPATION IN ANY EVENTS, OR (B) PRESENCE AT THE WINERY, INCLUDING, WITHOUT LIMITATION, THOSE CLAIMS THAT ARISE AS A RESULT OF: (I) THE NEGLIGENCE OF THE RELEASED PARTIES, AND/OR (II) THE INHERENT RISKS ASSOCIATED WITH PARTICIPATION IN THE EVENTS AND/OR BEING PRESENT AT THE WINERY, INCLUDING, WITHOUT LIMITATION, ALL CLAIMS FOR PERSONAL INJURIES, WRONGFUL DEATH OR EXPOSURE TO OR CONTRACTION OF COMMUNICABLE DISEASE BY US OR OTHER INDIVIDUALS EXPOSED TO COMMUNICABLE DISEASE BY US (HEREINAFTER, INDIVIDUALLY AND COLLECTIVELY, “RELEASED CLAIMS”). MEMBERS FURTHER COVENANT THAT NO MEMBER SHALL SUE THE RELEASED PARTIES REGARDING ANY RELEASED CLAIMS.

MEMBERS WILL, TO THE FULLEST EXTENT PERMITTED BY LAW, INDEMNIFY AND DEFEND THE RELEASED PARTIES FROM AND AGAINST ANY AND ALL LIABILITY ARISING FROM THE MEMBERS’ PARTICIPATION IN ANY EVENTS, PRESENCE AT THE WINERY AND ANY OTHER RELEASED CLAIMS. 

Any dispute, claim or cause of action arising out of or relating to this Agreement shall be settled by mandatory, confidential, final, and binding arbitration. The arbitration shall be held in Washington County, Pennsylvania and administered by JAMS in accordance with its then-existing comprehensive arbitration rules and procedures. There shall be a single arbitrator to be selected in accordance with those rules. The arbitrator shall have the power to award any remedies available under applicable law; provided, however, that the arbitrator shall have no authority to award punitive or other monetary damages not measured by the prevailing party’s actual damages, except as may be required by statute. Any award and any judgment confirming it only applies to the arbitration in which it was awarded and cannot be used in any other case except to enforce the award itself.

MEMBERS HEREBY KNOWINGLY, VOLUNTARILY AND INTENTIONALLY WAIVE THE RIGHT TO A TRIAL BY JURY WITH RESPECT TO ANY AND ALL ISSUES PRESENTED IN ANY ACTION, PROCEEDING, CLAIM OR COUNTERCLAIM BROUGHT BY EITHER OF THE PARTIES HERETO AGAINST THE OTHER OR ITS SUCCESSORS WITH RESPECT TO ANY MATTER ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, THE MEMBERSHIP AND/OR THE WINERY, THIS WAIVER OF ANY RIGHT TO A TRIAL BY JURY HAS BEEN NEGOTIATED AND IS AN ESSENTIAL ASPECT OF THE BARGAIN OF THIS AGREEMENT.  FURTHERMORE, MEMBERS KNOWINGLY, VOLUNTARILY AND INTENTIONALLY WAIVE THE RIGHT TO SEEK EXEMPLARY, PUNITIVE OR OTHER SPECULATIVE DAMAGES WITH RESPECT TO ANY AND ALL ISSUES PRESENTED IN ANY ACTION, PROCEEDING, CLAIM OR COUNTERCLAIM WITH RESPECT TO ANY MATTER ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, THE MEMBERSHIP AND/OR THE WINERY.  THE WAIVER BY MEMBERS OF ANY RIGHT THEY MAY HAVE TO SEEK EXEMPLARY, PUNITIVE OR OTHER SPECULATIVE DAMAGES HAS BEEN NEGOTIATED BY THE PARTIES HERETO AND IS AN ESSENTIAL ASPECT OF THEIR BARGAIN.

H. Entire Agreement
This Agreement constitutes the entire agreement between the parties pertaining to Member’s membership. There are no representations, warranties, or other agreements, whether oral or written, between the parties in connection with the subject matter of this Agreement except as specifically set forth. Member specifically agrees to be jointly and severally bound by the terms of this Agreement. This Agreement shall be interpreted and construed in accordance with the internal laws of the Commonwealth of Pennsylvania without regard to conflict of principles.

XIII. Membership Activation

Justabout Wine Club membership is an “at-will” privilege that can be revoked by either party at any time, without refund of any payments. By accepting membership, Members acknowledge and agree to abide by the Club’s policies, terms, and by laws, as established by Club Management.

Membership privileges are contingent upon the Member maintaining professional and respectful behavior toward the Club, its facilities, amenities, and fellow Members.  Failure to comply with these expectations, as determined solely by the Club Management, may result in immediate suspension and/or termination of membership without reimbursement.

By executing this agreement and using the Club’s facilities, Members explicitly:

  1. Waive all claims against Justabout Wine Club, its affiliates, employees, and agents related to membership termination or policy changes.
  2. Accept that this Agreement (and any bylaws, rules and regulations) may be modified at any time and that continued membership constitutes agreement to such modifications.
  3. Acknowledge and accept liability for any damages, liabilities, or injuries caused by themselves or their guests while on Club premises.
  4. Agree to resolve disputes exclusively through arbitration or mediation, as permitted under Pennsylvania law, waiving any right to litigation.
  5. Understand that this Agreement constitutes the final and complete agreement between the parties, superseding any prior verbal or written agreements.

Acknowledgement & Acceptance
By signing, I affirm that I have read, understood, and agreed to all terms outlined in this Agreement, including membership policies, payment terms, and liability provisions.  I acknowledge that this Agreement will be made available to Members digitally, and I agree to abide by all current and future amendments to Club rules and regulations.
